General Terms and Conditions

 

1) Scope

  • These General Terms and Conditions (hereinafter referred to as “GTC”) govern all contractual relationships between DAS Deutsche Antriebs-und Steuerungstechnik, Otto Hahnstrasse 3, 48301 Nottuln (hereinafter referred to as DAS) and its customers.
  • Deviating or conflicting terms and conditions of the customer shall not apply unless DAS has expressly agreed to their validity in writing.

 

2) Subject matter of the contract and scope of services

  • DAS offers products and services in the field of industrial door operators, controls and accessories.
  • The specific scope of services is contractually agreed upon individually and specified in the respective order confirmation.

 

3) Contract

  • A contract between DAS and the customer is concluded through a request from the customer and the subsequent offer prepared by DAS.
  • Acceptance of the offer is made by an explicit order or a written confirmation from the customer.
  • After acceptance of the offer by the customer, the customer receives a legally binding order confirmation from DAS.

 

4) Prices and payment terms
 
  • All prices are in euros and plus the applicable statutory value added tax.
  • Payment is made by bank transfer to the bank account designated by DAS.
  • Unless otherwise agreed, the payment terms are as follows:

            50 % deposit when placing the order    50 % final payment after delivery

  • The final payment is to be made net within 10 calendar days without deduction.

 

5) Delivery and Terms of Service

  • Delivery times vary depending on the product and the respective production period and are determined individually in the offer.
  • DAS strives to carry out the delivery as promptly as possible and in accordance with customer requirements.

 

6) Warranty and liability

  • DAS grants a warranty period of 12 months from the transfer of risk. This applies to all products, except where a specific warranty period is specified for the product.
  • DAS assumes no liability for material defects caused by improper or unsuitable work by third parties. This includes, in particular, unauthorized changes to the product.
  • Compliance with the operating and maintenance instructions as well as the prescribed maintenance intervals is mandatory. Otherwise, warranty rights may lapse.
  • In any case, the warranty costs are limited to the value of the product supplied.
  • Liability on the part of DAS is excluded if the customer makes unauthorized repairs or changes and causes damage as a result.

 

7) Cancellation and Cancellation Policy

  • A right of withdrawal only exists until the start of production of the ordered product.
  • After the start of production, cancellation is excluded. In this case, the customer must bear the material and labor costs incurred up to that point in full.
  • Cancellations before the start of production can be subject to an expense allowance for services already provided, such as advice and measurements.

 

8) Ownership

  • The delivered goods remain the property of DAS until full payment has been made.
  • In the event of default of payment, DAS is entitled to reclaim the goods.

 

9) Force majeure

  • During war, riots, riots, due to official measures, labor disputes, failure to deliver from suppliers of DAS as well as other unforeseeable events, DAS is released from its obligations to perform during these disruptions.

 

10) Privacy

  • DAS processes personal data in accordance with the General Data Protection Regulation (GDPR).
  • Collected data includes, but is not limited to, name, contact details, address information, creditworthiness data, payment information and customer history.
  • Personal data will only be passed on to the extent permitted by law, in particular to:

         Sales partners, suppliers and service providers for the execution of contracts

         Credit institutions and payment service providers

         Public bodies in case of legitimate interest (e.g. tax authorities)

         Debt collection service providers and lawyers for the enforcement of claims

  • The customer has the right to information, correction, deletion or restriction of the processing of his data in accordance with Art. 15-20 GDPR.

 

11) Place of jurisdiction and applicable law

  • The exclusive place of jurisdiction for all disputes is the registered office of DAS.
  • German law shall apply exclusively.
 

12) Final provisions

  • Should individual provisions of these Terms and Conditions be invalid or unenforceable, the validity of the remaining provisions shall remain unaffected. The invalid provision is replaced by one that is as economically equivalent as possible.
  • Changes or additions to these T&Cs must be made in writing.
